Terms of Service

1. Agreement to Terms

By accessing and using THANLAR's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

2. Services Description

THANLAR provides software development, consulting, and technology solutions. The specific scope, deliverables, and timelines for each project will be outlined in individual service agreements or statements of work.

3. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information necessary for project execution
  • Respond to inquiries and provide feedback in a timely manner
  • Ensure availability of key stakeholders for meetings and approvals
  • Provide necessary access to systems and resources as required
  • Comply with all applicable laws and regulations

4. Intellectual Property Rights

Unless otherwise specified in a separate agreement:

  • THANLAR retains ownership of all pre-existing intellectual property and reusable components
  • Custom-developed deliverables become client property upon full payment
  • THANLAR reserves the right to use project experience as a portfolio reference
  • Third-party software and licenses remain subject to their respective terms

5. Payment Terms

  • Payment schedules will be outlined in individual service agreements
  • Invoices are due within 30 days unless otherwise specified
  • Late payments may incur interest charges and suspension of services
  • All fees are quoted in USD unless otherwise stated
  • Refunds are subject to the terms outlined in individual agreements

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the engagement. This obligation continues for a period of three years after project completion unless otherwise specified.

7. Warranties and Disclaimers

THANLAR warrants that services will be performed in a professional and workmanlike manner. However, we provide our services "as is" without any other warranties, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, THANLAR shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from the use or inability to use our services. Our total liability shall not exceed the amount paid by the client for the specific service in question.

9. Project Changes and Scope

Changes to project scope, timeline, or deliverables must be documented through a formal change request process. Additional work beyond the original scope may result in additional fees and timeline adjustments.

10. Termination

Either party may terminate services with written notice. In the event of termination:

  • Client is responsible for payment of all work completed up to the termination date
  • THANLAR will deliver all completed work and project documentation
  • Refunds, if any, will be processed according to the service agreement

11. Data Protection and Privacy

THANLAR is committed to protecting client data in accordance with applicable data protection laws. Our data handling practices are outlined in our Privacy Policy. We implement appropriate technical and organizational measures to ensure data security.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor strikes, or government restrictions.

13. Dispute Resolution

Any disputes arising from these terms will first be addressed through good faith negotiations. If resolution cannot be reached, disputes will be subject to binding arbitration in accordance with the laws of Singapore.

14. Modifications to Terms

THANLAR reserves the right to modify these terms at any time. Clients will be notified of significant changes. Continued use of our services after modifications constitutes acceptance of the updated terms.

15. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.

16. Entire Agreement

These terms, together with any service agreements and statements of work, constitute the entire agreement between THANLAR and the client regarding the use of our services.
